No.6124/856 13 December 2004 Subject: Notice of the Change of the Shareholding Structure of the Major Shareholder of MCOT Public Company Limited To: The President The Stock Exchange of Thailand As MCOT Public Company Limited (the Company") and the Ministry of Finance offered for sale to public the Company's 121 million ordinary shares, comprising 70 million newly issued ordinary shares and 51 million existing ordinary shares held by the Ministry of Finance, and the over-allotment of 18 million existing ordinary shares held by the Ministry of Finance. In this regard, Phatra Securities Company Limited, as an over-allotment agent, will seek to procure the shares through the Stock Exchange and return to the Ministry of Finance (Stabilization) whereby the stabilization period was from 17th November 2004 to 13 th December 2004, details of which have already been made known. The Company would like to inform that, at present, Phatra Securities Company Limited, as an over-allotment agent, exercised a greenshoe option to purchase shares from the Ministry of Finance in order to return shares borrowed for the over-allotment to the Ministry of Finance. As a result, the shareholding structure of the Ministry of Finance, as the major shareholder of the Company, has been changed. The number of existing ordinary shares held by the Ministry of Finance decreased to be 531 million shares, or approximately 77.3% of the Company's total issued and outstanding shares.
