As being listed in the Stock Exchange of Thailand on 17 November 2004,
the total proceeds received by the Company after the deduction of
underwriting remuneration as of 31 March 2006 are as follows:
Issued and fully paid-up capital
87,099,210 ordinary shares at the price of Baht 5 each 435,496,050 B
Premium on share capital 1,106,802,869 B
Total Proceeds 1,542,298,919 B
The Company hereby submit the report of the use of proceeds from the IPO
as of 30 June 2006 as stated in the table attached herewith.

Use of Proceeds Amount (MM Baht)
1. Expanding radio networks and
television relay stations.
The expanding of the networks -
involves with new frequency
which is required the permission
granting from the NBC.
Hence, the expansion can be done
only after the setting up of NBC
is completed.
2. Upgrading broadcast equipment
in radio and television relay stations
both in the central and regional areas.
5 television stations have been 34.863 MM
upgraded which are Maehongsorn,
Trang, Loei, Satun and
Nakhonsawan
3. Improving the production
capability and selection of
programs for the Company s
various medias.
Training courses for Radio, Television 7.886 MM
and News staff
4. Investing in infrastructure to
support future digital broadcast.
Replacement, maintenance and supply 378.979 MM
back up equipment for
digital broadcast
5. Investing in the Asia Regional
Hub of Communication project.
Under the discussion with -
International News Agency. And
MCOT building is under renovation
for the office of International
News Agency
6. Investing in the MCOT TV
Project.
L.E.K.Consulting (ASIA PACIFIC) -
LLP is acting as the advisor of this
project, and L.E.K. already submitted
the feasibility study to the Board of the
company Meeting No.3/2005 dated
23 March 2005. The resolutions are as
Follows : The Meeting acknowledged
the feasibility study proposed by L.E.K
Consulting (ASIA PACIFIC) LLP and
instructed the management to follow
up on
1 To do additional feasibility study
2. To seek for strategic partners
Currently, the project is under the
preliminary study stage. The result
of the additional feasibility study will be
submitted to the Board of the Company,
and then the resolution of the Meeting
will be informed to SET.
