Notification on Bangkok Entertainment's Compliance with the Joint Operation Contract

Kindly refer to MCOT's letter dated March 25, 2010 Ref. MCOT 6153/1029 informing the Stock Exchange of Thailand (SET) of Bangkok Entertainment Company Limited's compliance with the Joint Operation Contract of Color Television Transmission. The Board of Directors' Meeting No. 9/2011 held on July 21, 2011 at the Meeting Room, 6th Floor, MCOT Administration Building, 63/1 Rama IX Road, Huay Kwang Sub-District, Huay Kwang District, Bangkok 10310 resolved as follows: 1. Acknowledged the opinion of the Council of State as follows: 1) If it is proven that Bangkok Entertainment Company Limited has fully complied with the following two precedent conditions specified in the contract: (1) having broadcast its programs in the central and regional areas throughout the period specified in the contract with no violation of contract; (2) having improved its equipment necessary for its continuous broadcasting with the cost of not less than Baht 50 million after approval from MCOT Public Company Limited of Bangkok Entertainment Company Limited's project proposal, the contract then can be immediately extended for another 10 years. 2) Since determination of compensation is stipulated in the third amendment of the contact, the negotiation for the payment of additional compensation of Baht 405 million to be made by Bangkok Entertainment Company Limited is not (part of the contract) and is not related to the 10-year extension of the Joint Operation Contract of Color Television Transmission. It is therefore not required to comply with the Act on Private Participation in State Undertaking B.E. 2535 (1992) 2. Approved the agreement between MCOT Public Company Limited and Bangkok Entertainment Company Limited, for MCOT Public Company Limited to recieve additional compensation of Baht 405 million form Bangkok Entertainment Company Limited and assigned the management of MCOT Public Company Limited to schedule the payment of remuneration. ______________________________________________________________________
